Bazaar.in Seller Settlement & Deduction Policy

Weekly settlement cycle, marketplace commission, statutory deductions and recoverable charges for sellers

Introduction

This Seller Settlement & Deduction Policy governs the financial settlement process between Bazaar.in, a brand operated by Shift Logistics Private Limited, and the sellers registered on the Bazaar.in marketplace platform.

Under the marketplace model, sellers list and sell products through Bazaar.in, while payments are collected from buyers through the payment gateway integrated with Bazaar.in. Bazaar.in acts as an intermediary facilitating the transaction and subsequently settles payments to sellers after deducting applicable marketplace fees, payment processing charges, statutory taxes, and government-mandated deductions.

This policy applies only to successfully delivered orders where no return, refund, replacement, cancellation, exchange, dispute, or chargeback has been initiated.

Settlement Cycle

Seller settlements shall be processed on a weekly basis.

The settlement amount shall be calculated after deducting applicable marketplace fees, payment gateway charges, taxes, statutory deductions, penalties (if any), and other charges as communicated by Bazaar.in from time to time.

Components of Seller Settlement

The seller settlement amount for each order is calculated using the components set out below.

1. Gross Order Value

Gross Order Value refers to the total amount paid by the customer for the order, including applicable GST charged on the product.

Example: Product Selling Price (Inclusive of GST): ₹1,000

This amount shall form the basis for settlement calculations.

2. Marketplace Commission

Bazaar.in shall charge a marketplace commission for facilitating sales on the platform.

Commission rates may vary based on product category, seller tier, promotional programs, or special agreements.

Example: No (zero) Marketplace Commission is applied for all order received from 1st June 2026 Till 31st Dec 2026 Taxable Product Value: ₹847.46 Commission Rate: 0% Commission Amount: ₹847.46 × 0% = ₹0

3. GST on Marketplace Commission

As per GST regulations, Bazaar.in shall levy GST on the marketplace commission charged to the seller.

Current GST Rate: 18%

Example: Commission Amount: ₹0 GST on Commission: ₹0 × 18% = ₹0 Total Commission Invoice: ₹0

Bazaar.in shall issue a GST-compliant tax invoice for such commission charges.

4. Payment Gateway Charges

All payments received through payment gateways such as Razorpay shall attract payment processing charges.

These charges may include: • Merchant Discount Rate (MDR) • Platform Charges • Gateway Processing Fees • Applicable GST on Gateway Charges

Example: Order Value: ₹1,000 Razorpay Fee @ 2%: ₹20.00 GST on Razorpay Charges @18%: ₹3.60 Total Gateway Deduction: ₹23.60

Actual charges may vary according to the payment method used by the customer, including UPI, Credit Card, Debit Card, EMI, International Cards, Wallets, Net Banking, or BNPL services.

5. Tax Collected at Source (TCS) under GST

As required under Section 52 of the Central Goods and Services Tax Act, 2017, Bazaar.in shall collect Tax Collected at Source (TCS) on behalf of the Government.

Current TCS Rate: • 0.5% CGST • 0.5% SGST Total: 1% or • 1% IGST for interstate transactions

TCS shall be calculated on the net taxable value of supplies made through the marketplace.

Example: Taxable Product Value: ₹847.46 TCS @1%: ₹8.47

This amount shall be deposited with the Government and reflected in the seller's GST records.

6. Tax Deducted at Source (TDS) under Section 194-O

As mandated under Section 194-O of the Income Tax Act, Bazaar.in shall deduct TDS on payments made to sellers.

Current TDS Rate: 0.1% where valid PAN is provided. Higher rates may apply where PAN is not furnished as per applicable tax provisions.

Example: Gross Order Value: ₹1,000 TDS @0.1%: ₹1.00

The deducted amount shall be deposited with the Income Tax Department and reflected in the seller's Form 26AS and Annual Information Statement (AIS).

7. Forward Shipping Charges

Bazaar.in shall recover the applicable forward shipping charges incurred for delivering the order from the seller to the customer. These charges shall be based on the actual rates charged by the logistics partner or the shipping rates published by Bazaar.in from time to time.

Forward shipping charges may vary depending on factors including, but not limited to: • Shipment weight (actual or volumetric) • Package dimensions • Pickup and delivery location • Courier partner • Service level (Standard, Express, Same Day, etc.) • Applicable fuel surcharge or logistics surcharges • GST applicable on shipping charges

Example: Forward Shipping Charges: ₹60.00 GST on Shipping Charges @18%: ₹10.80 Total Shipping Deduction: ₹70.80

The applicable shipping charges and GST shall be reflected separately in the Seller Settlement Statement.

Exemption for Seller-Managed Shipping Where the seller elects to use their own logistics partner or self-managed shipping service for fulfilling an order, and the shipment is not booked through Bazaar.in or its designated logistics partners, no forward shipping charges shall be deducted by Bazaar.in from the seller's settlement.

In such cases: • The seller shall be solely responsible for arranging pickup, transportation, delivery, shipment tracking, and proof of delivery. • All shipping costs, insurance, packaging, and logistics-related expenses shall be borne directly by the seller. • Bazaar.in shall not be responsible for any delays, loss, damage, or disputes arising from shipments handled by the seller or the seller's logistics partner. • Only shipments booked through Bazaar.in's integrated logistics services shall attract forward shipping and related logistics deductions.

Seller Settlement Statement

For each order, Bazaar.in may provide the following information: • Order ID • Product Details • Order Date • Delivery Date • Gross Order Value • Taxable Product Value • GST on Product • Marketplace Commission • GST on Commission • Payment Gateway Charges • GST on Payment Gateway Charges • Shipping Charges (if applicable) • GST on Shipping Charges • TCS Deduction • TDS Deduction • Adjustments (if any) • Net Amount Payable

Seller Tax Responsibility

The seller shall remain solely responsible for: • GST collection and payment on products sold. • Filing GST returns. • Maintaining GST compliance. • Filing Income Tax Returns. • Reporting sales made through Bazaar.in.

Bazaar.in acts only as a marketplace intermediary and shall not be responsible for seller tax liabilities except for statutory deductions mandated under law.

Right to Adjust Future Settlements

Bazaar.in reserves the right to adjust future settlements for: • Refunds • Returns • Replacements • Chargebacks • Customer disputes • Incorrect settlements • Excess payouts • Tax adjustments • Government compliance requirements • Marketplace penalties

Policy Amendments

Bazaar.in reserves the right to modify, revise, update, or amend this policy at any time to comply with changes in applicable laws, government regulations, tax provisions, payment gateway charges, marketplace policies, or operational requirements.

Continued use of the Bazaar.in marketplace by the seller shall constitute acceptance of such amendments.

Effective Date

This Seller Settlement & Deduction Policy shall come into effect from the date of publication on Bazaar.in and shall remain binding on all registered sellers using the marketplace platform.

8. Additional Deductions

In addition to the deductions specified above, Bazaar.in reserves the right to deduct the following amounts from the seller's settlement wherever applicable.

8.1 Order Cancellation Charges

Where an order is cancelled due to reasons attributable to the seller, including but not limited to stock unavailability, refusal to fulfill the order, delayed dispatch, incorrect product listing, or any other seller-related reason, Bazaar.in shall levy a cancellation charge.

Cancellation Charge: 10% of the Gross Order Value of the cancelled order.

Example: Gross Order Value: ₹1,000 Cancellation Charges @10%: ₹100

These charges may be adjusted against the seller's current or future settlements.

8.2 Return-to-Origin (RTO) Reverse Shipment Charges

Where an order is returned to the seller due to unsuccessful delivery, customer non-acceptance, incorrect address, repeated delivery failures, refusal to accept delivery, or any other reason resulting in Return-to-Origin (RTO), the seller shall bear the actual reverse logistics charges incurred by Bazaar.in.

The reverse shipment charges shall be deducted from the seller's settlement based on the actual amount charged by the logistics partner.

Example: Actual Reverse Shipment Charges: ₹85 Amount Deducted from Seller Settlement: ₹85

The applicable reverse shipment charges may vary depending on the shipment weight, dimensions, delivery location, courier partner, and other logistics-related factors.

8.3 Other Recoverable Charges

Bazaar.in may recover additional amounts from the seller, wherever applicable, including but not limited to: • Packaging material costs supplied by Bazaar.in. • Logistics or shipping cost adjustments. • Customer compensation approved under marketplace policies. • Government-mandated taxes, levies, or statutory recoveries. • Penalties imposed due to violations of Bazaar.in Seller Policies. • Any excess settlement or erroneous payment made to the seller. • Costs arising from fraud investigations, chargebacks, or compliance requirements.

All such deductions shall be reflected in the seller settlement statement with appropriate descriptions wherever reasonably practicable.
